Terms of Service
EZ Contractor Binder

These terms govern your use of EZ Contractor Binder. By creating an account or using the software, you agree to them.
They're written to be read. If something here is unclear, email ezcontractorbinder@gmail.com and I'll explain it.
1. Who you're agreeing with
EZ Contractor Binder is operated by Josh Bishop.

2. Your account
You need an account to use the software. You're responsible for keeping your password secure and for what happens under your account.
One login belongs to one company. A single person can't hold accounts with two contractors on the same login.
You must be 18 or older and using this for a business.
You can invite people to your company — employees, subcontractors, clients. What each of them can see is determined by the role you give them. You're responsible for giving people the right roles.
3. Subscription and payment
Subscriptions are billed monthly through Stripe. The price and what's included are shown on the Billing page in the app.
Trials. A free trial runs for 30 days.
⚠️ A credit card is required to start one, and nothing is charged without your approval. At the end of the trial you choose a plan — you are never charged automatically for simply letting the trial run out. If you make no choice, your account locks (section 6). Once you do choose a plan, that plan bills monthly from then on until you cancel.
Changing plan during a trial requires payment, which starts your subscription.
Plan limits. Each plan includes a number of team members and an amount of file storage, both shown on the pricing page and in the app. ⚠️ Both are enforced. Reaching the storage limit stops new uploads — it does not delete anything, and the rest of the software keeps working. Reaching the team limit stops new invitations.
Add-ons are optional, priced separately, and shown on the Billing page. You can turn them on and off. The AI photo tagging add-on covers 1,500 photos a month; past that, photos still upload but arrive without suggested tags.
Changes to pricing are notified by email before they take effect. If you don't accept a price change, you can cancel.
Refunds. If something goes genuinely wrong, email me. I'd rather sort it out than argue about it.
4. Your data is yours
Everything you put into EZ Contractor Binder belongs to you. Your jobs, your clients, your estimates, your photos, your records. Not mine.
What I have is permission to store and process that information for one purpose: running the service you're paying for. Nothing else.
I won't sell it, share it with advertisers, or use it to train AI models. The Privacy Policy sets out exactly what's stored and who can see it.
You can export your data at any time while your account is active — including downloading any project as a single zip file, with every document, photo and record in it sorted into folders.
5. What you agree not to do
Don't use EZ Contractor Binder to:
- Break the law, or help anyone else to.
- Store information you have no right to store.
- Attack, overload, probe or reverse-engineer the service.
- Get around the access limits that separate roles, companies or clients.
- Resell the service or pass your account to someone else without asking me.
- Upload malware or anything designed to cause harm.
If you do any of this, I can suspend or close the account. For anything serious, I'll do it without notice.
6. If your subscription ends
Trial expires without subscribing: Your account locks. The data is retained for 14 days. You can't read it while locked. Subscribe within those 14 days and everything comes back. After 14 days it is permanently deleted and cannot be recovered.
You cancel a paid subscription: Your account locks at the end of the period you've paid for. The data is retained for 90 days. You can't read it while locked. Resubscribe within those 90 days and everything comes back. After 90 days it is permanently deleted and cannot be recovered.
Deleted files sit in the trash and still count against your storage until an Owner or Admin empties it. Anything left in the trash for six months is permanently deleted automatically.
⚠️ Read this part carefully: locked means locked, and deleted means gone. You cannot read, export or download your data while the account is locked, and once the retention window passes the records are permanently removed — not hidden, not archived. Export what you need before you cancel.
Your clients keep their portal access for its normal period during a paid cancellation — they may still need documents from work you did for them.
I can close an account for non-payment, for a breach of section 5, or if I stop operating the service. Except for a serious breach, I'll give reasonable notice and a chance to export.
7. What the software does and doesn't promise
EZ Contractor Binder helps you run construction work. It is not:
- Legal advice. Contracts, lien waivers and releases are legal documents. The software fills in forms you provide; it doesn't supply the wording and it doesn't tell you whether a form is right for your state or your situation. Have a lawyer review your forms.
- Accounting or tax advice. It records costs and can send them to your accounting software. It doesn't replace an accountant.
- A payroll service. It tracks hours and calculates burdened labour cost. Running payroll, withholding tax and filing returns are yours.
- A guarantee of accuracy. The numbers come from what you enter. Check the figures before you send a proposal, an invoice, or anything else with money on it.
8. Availability
I'll work to keep the service running and I'll fix things when they break. But I don't promise uninterrupted or error-free operation. There will be maintenance, outages and bugs.
Parts of the service depend on other companies — Supabase, Vercel, Stripe, Resend, Intuit. If one of them has an outage, part of the service may be unavailable, and that's outside my control.
9. QuickBooks
Connecting QuickBooks is optional. If you connect it:
- You authorise the software to send the records you choose to your own QuickBooks company.
- You're responsible for the accuracy of what gets sent and for your own books.
- Your use of QuickBooks is governed by your agreement with Intuit, not this one.
- You can disconnect at any time.
10. The legal parts
The service is provided "as is." To the extent the law allows, there are no warranties beyond those that cannot be excluded — no implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of liability. To the extent the law allows, total liability for any claim relating to the service is limited to the amount you paid in the twelve months before the claim. I'm not liable for lost profits, lost business, lost data, or indirect or consequential damages.
Your responsibility. You're responsible for your own use of the service, for the accuracy of what you enter, and for the legal effect of documents you produce with it.
These limits are a real part of the deal. This is software sold at a monthly subscription price; it isn't priced to carry the risk of your construction business.
11. Changes to these terms
If these terms change, the date at the top changes and material changes are emailed to active customers before they take effect. Continuing to use the service after that means you accept them.
12. Governing law
These terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Florida.
13. Everything else
If one part is unenforceable, the rest stays in force.
These terms are the whole agreement between us about the service.
Not waived by inaction. If I don't enforce something immediately, that doesn't mean I've given it up.
You can't transfer this agreement without asking. I can transfer it if the service changes hands, and I'll tell you if that happens.
